These Terms of Service ("Terms") govern your access to and use of the financialregulations.eu platform and all related services (collectively, the "Service") provided by financialregulations.eu, a company registered in the Netherlands ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Nature of Service
financialregulations.eu is a regulatory intelligence platform that provides AI-generated analysis based on regulatory source material drawn from European Union and selected national regulatory frameworks. The Service is designed to assist compliance professionals, legal teams, and financial institutions in understanding and navigating the regulatory landscape by providing automated retrieval, summarisation, and interpretation of regulatory texts.
financialregulations.eu is a technology company. It is not a law firm, does not hold itself out as a law firm, and does not provide legal advice. The outputs generated by the Service are the product of artificial intelligence systems and do not constitute legal opinions, regulatory guidance, or professional advice of any kind. The Service should be regarded as a research and intelligence tool, and its outputs should be treated as preliminary analysis requiring further review by qualified professionals.
2. No Attorney-Client Relationship
Your use of the Service does not create an attorney-client relationship between you and financialregulations.eu, its officers, employees, or affiliates. No professional privilege, including but not limited to legal professional privilege, litigation privilege, or any analogous privilege under any jurisdiction, attaches to the outputs generated by the Service or to any communications you have with the Service or its support team.
You acknowledge and agree that you should not rely upon the outputs of the Service as a substitute for advice from a qualified legal professional. Any decisions you make based on the outputs of the Service are made entirely at your own risk and discretion. financialregulations.eu expressly disclaims any responsibility for any actions taken or not taken on the basis of outputs generated by the Service.
3. Accuracy Disclaimer
All outputs generated by the Service, including but not limited to regulatory analyses, summaries, interpretations, risk assessments, and compliance reports, are AI-generated approximations based on the regulatory source material available to the system at the time of generation. We do not guarantee and expressly disclaim any warranty or representation that such outputs are accurate, complete, current, or fit for any particular purpose.
Regulatory interpretation is inherently uncertain. Qualified legal professionals regularly disagree on the correct interpretation of regulatory provisions, and regulatory authorities may adopt interpretations that differ from any analysis provided by the Service. The AI systems underlying the Service may hallucinate, misinterpret, or omit relevant provisions, and may fail to account for recent amendments, delegated acts, regulatory technical standards, or supervisory guidance that is material to your specific situation.
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
4. Limitation of Liability
To the maximum extent permitted by applicable law, the total aggregate liability of financialregulations.eu, its officers, directors, employees, affiliates, and agents arising out of or in connection with these Terms or your use of or inability to use the Service shall be limited to the total subscription fees actually paid by you to financialregulations.eu in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall financialregulations.eu, its officers, directors, employees, affiliates, or agents be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to damages for loss of profits, loss of revenue, loss of data, loss of business opportunity, loss of goodwill, regulatory penalties, fines imposed by supervisory authorities, or any other pecuniary or non-pecuniary loss, however caused and under any theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise, even if financialregulations.eu has been advised of the possibility of such damages.
Without limiting the foregoing, financialregulations.eu shall have no liability whatsoever for any decisions made, actions taken, or omissions made by you or any third party in reliance upon or on the basis of any output generated by the Service. You acknowledge that the outputs of the Service are intended as preliminary analysis only and must be independently verified by qualified legal counsel before being relied upon for any regulatory, compliance, or business purpose.
5. Acceptable Use
The Service is intended for professional use by compliance professionals, legal practitioners, financial institutions, and other professionals who require regulatory intelligence in the course of their professional activities. By using the Service, you represent and warrant that you are accessing the Service for legitimate professional purposes and that you have the authority to bind your organisation to these Terms, if applicable.
You agree that you shall not rely upon the outputs of the Service without conducting independent legal review by a qualified legal professional. You further agree that you shall not represent to any third party that the outputs of the Service constitute legal advice, a legal opinion, or the work product of a qualified legal professional.
You shall not use the Service for any unlawful purpose, to facilitate any unlawful activity, or in any manner that could damage, disable, overburden, or impair the Service. You shall not attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service. You shall not use automated means to access the Service beyond the scope of the API access included in your subscription plan, if any.
6. Data Handling
Any documents, files, or other materials that you upload to the Service ("User Documents") are processed for the sole purpose of generating the regulatory analysis, reports, or other outputs you have requested. User Documents are stored securely in accordance with our Privacy Policy and are subject to the data protection measures described therein.
We do not share, sell, disclose, or otherwise make available User Documents to any third party, except to the extent strictly necessary for the sub-processors identified in our Privacy Policy to perform the services required to deliver the outputs you have requested. A current list of sub-processors and their respective roles is maintained in our Privacy Policy, which is available at /legal/privacy.
You are responsible for ensuring that you have the right to upload any documents to the Service and that doing so does not violate any applicable law, regulation, contractual obligation, or third-party right. You acknowledge that the processing of User Documents may involve the transmission of data to sub-processors located outside the European Economic Area, as described in our Privacy Policy.
7. Intellectual Property
You retain all ownership rights in and to the documents, files, and materials you upload to the Service. By uploading User Documents, you grant financialregulations.eu a limited, non-exclusive, non-transferable licence to process such documents solely for the purpose of providing the Service to you.
The outputs generated by the Service, including regulatory analyses, summaries, reports, and any other materials produced in response to your queries ("Outputs"), are licensed to you for your professional use. You may use, copy, and distribute Outputs within your organisation for legitimate professional purposes. You may not resell, sublicence, or commercially distribute Outputs to third parties as a standalone product or service.
All intellectual property rights in and to the Service itself, including its software, algorithms, user interface, documentation, and branding, are and shall remain the exclusive property of financialregulations.eu. Nothing in these Terms grants you any right, title, or interest in or to the Service beyond the limited right to use the Service in accordance with these Terms and your applicable subscription plan.
8. Subscription Terms
Access to the Service requires a paid subscription. Subscriptions are available on a monthly or annual billing cycle, as selected by you at the time of purchase. All payments are processed securely by Stripe, our third-party payment processor. By subscribing, you authorise Stripe to charge your designated payment method in accordance with the billing cycle you have selected.
Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. You may cancel your subscription at any time through the Stripe Customer Portal accessible from your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until the end of that period.
No refunds are provided for partial billing periods. If you cancel a monthly subscription mid-month, or an annual subscription mid-year, you will not receive a pro-rated refund for the unused portion of the billing period. Downgrades from a higher-tier plan to a lower-tier plan will take effect at the end of the current billing period. Upgrades will take effect immediately, and the billing difference will be pro-rated for the remainder of the current billing period.
9. Modifications to These Terms
We reserve the right to modify, amend, or update these Terms at any time. In the event of any material change to these Terms, we will provide you with at least thirty (30) days' prior notice by sending a notification to the email address associated with your account. The revised Terms will also be posted on our website with an updated "Last updated" date.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Service and cancel your subscription before the revised Terms take effect. In such case, the Terms in effect at the time of your cancellation will continue to govern any disputes arising from your prior use of the Service.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be submitted exclusively to the competent courts of The Hague, the Netherlands.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.
